Michael J. Nussbaum is a Partner in the firm and represents companies in the real estate, technology, entertainment, healthcare, financial services, and retail and consumer product sectors. He is also a licensed California real estate broker.  

Real Estate

Michael represents clients in  aspects of transactional real estate law. He has extensive experience in the acquisition, sale, financing, development and leasing of commercial, industrial, office, retail and residential centers located throughout the United States, including tax-deferred Section 1031 real property exchanges. Michael has considerable experience in private offerings, securities and syndications. He represents both lenders and borrowers in various types of financing transactions, including commercial mortgage-backed securities and loan workouts. 

Business, Corporate, M&A and Tax

Michael’s practice includes corporate transactions, mergers and acquisitions, venture capital and private equity financings, reorganizations, asset and stock purchases, joint ventures, securities offerings and stock option plans, restricted stock and other incentive programs for key executives and employees. He has formed and negotiated general and limited partnerships, limited liability companies, corporations, joint ventures, and private syndications. Michael handles critical issues involved in forming, restructuring, transferring interests in, merging, converting and dissolving entities.  His practice also includes general tax analysis and planning in connection with all types of corporate, securities, commercial transactions and business operations. 

Startups

Michael represents emerging growth companies at all stages of their lifecycle.  His services include ongoing day-to-day “Outside General Counsel” advice, as well as transactional services in connection with financings (formation, seed, convertible note, preferred equity), complex strategic transactions, exits, equity compensation matters and corporate governance.

Education

Michael received his B.A. from Emory University and his J.D. from Loyola Law School. During law school, Mr. Nussbaum served as the Production Editor for the Loyola Entertainment Law Review and was on the Dean's List. Mr. Nussbaum currently serves on the board committee for the Tower Cancer Research Foundation's annual Tower Tournament.
